By accessing the Alchemy Trials website or engaging our Site Management services, you agree to be bound by these Terms and Conditions. These terms govern the relationship between Alchemy Trials and its partner sites.

2. Description of Services

Alchemy Trials provides a turnkey solution for clinical research, including:

• Full operational management and oversight of clinical research activities.
• Deployment of trained research personnel to execute protocol-specific tasks.
• Liaison services between the medical practice, study sponsors, and CROs.

3. Partnership and Site Integration

• Nature of Relationship: Alchemy Trials acts as an independent contractor providing SMO services. No joint venture or employment relationship is created between Alchemy Trials and the clinic’s existing staff unless explicitly stated.
• Operational Impact: Our services are designed for seamless integration with zero disruption to routine patient care.
• Medical Oversight: While Alchemy Trials manages operations, the designated Medical Director at the site maintains overall clinical oversight as required by the study protocol.

4. Financial Terms and Compensation

• Revenue Model: Partner sites receive supplemental revenue based on enrollment volume, typically ranging from $100 to $150 per patient.
• No Upfront Costs: There are no capital investments or upfront fees required for a medical practice to become an Alchemy Trials partner site.

5. Intellectual Property

• All proprietary methodologies, recruitment strategies, and training materials developed by Alchemy Trials remain the exclusive property of the Company.
• Use of the Alchemy Trials logo or brand name requires prior written consent.

6. Limitation of Liability

Alchemy Trials specializes in low-risk, non-invasive medical device and diagnostic studies. Alchemy Trials shall not be liable for any indirect, incidental, or consequential damages resulting from a site’s participation in a study, provided that Alchemy Trials has met its obligations for professional oversight and regulatory compliance.

7. Governing Law

These Terms and Conditions are governed by the laws of the State of Florida. Any disputes shall be resolved in the appropriate courts located within Florida jurisdiction.
